Germany's RWE has reached an agreement to pay Eur8.35 billion ($11.9
billion) to acquire Dutch utilities group Essent, Eur950 million less than it
had originally planned to pay, analysts at Citi, which is adviser to Essent on
the deal, said Thursday.
Essent and RWE were not immediately available for comment.
The lower price reflects the fact that it will not be acquiring Essent's
50% stake in the Borssele nuclear power plant in the southwest Netherlands.
RWE had originally planned to pay Eur9.3 billion ($13.3 billion) to buy
the Dutch utility but this had to be revised following a court ruling in July
that blocked RWE from acquiring Essent's 50% stake in Borssele.
Borssele is co-owned by rival Dutch utility Eneco, and in April Eneco
started legal proceedings against RWE taking a stake in the 481 MW plant.
Eneco had argued that existing statutes prevent foreign ownership in
Borssele, which is the country's only nuclear power plant and is due to run
until 2033. A court in Arnhem upheld this view in July.
It has now been agreed that Essent's stake in Borssele will be placed in
a new company which will stay under ownership of Essent's current
shareholders, Citi said.
